IMPORTANT CLOSURE RULE
Closing a business is not always a single filing.
Depending on the entity and circumstances, the process may involve:
- Texas Secretary of State
- Texas Comptroller
- Tax clearance or other tax-related requirements
- Final filings
- Owner or governing-person authorization
- Registered Agent matters
- Licenses
- Banks
- Payroll
- Vendors
- Contracts
- IRS records
- Other third parties
Sia should not tell a customer that one termination filing automatically closes every business account or obligation.
DISSOLUTION, TERMINATION & WITHDRAWAL — WHAT'S THE DIFFERENCE?
What is dissolution or termination?
For a Texas domestic entity, dissolution or termination generally refers to formally ending the entity's existence through the applicable state process.
What is withdrawal?
Withdrawal generally applies when an entity formed outside Texas wants to end its Texas registration.
The entity may continue to exist in its home jurisdiction.
Is withdrawal the same as dissolving the company everywhere?
No.
Withdrawing from Texas generally ends the entity's Texas registration. It does not automatically dissolve the entity in its home state.
BASIC CLOSURE INTAKE CHECKLIST
Customers should generally be prepared to provide:
- Exact legal entity name
- Texas entity information
- Entity type
- Whether the entity is domestic or foreign
- Current entity status
- Reason for closing or withdrawing
- Applicable owner or governing-person authorization
- Current Registered Agent information
- Current business address
- Any relevant Texas Comptroller correspondence
- Any relevant Secretary of State notices
- Supporting documents if requested
- Authorized signer information
- Customer contact information
- Required authorization
- Payment
Additional information may be required depending on the entity's status.
LEGAL ENTITY NAME
What name should I provide?
Customers should provide the exact legal entity name shown in the applicable government record.
Should I provide my DBA instead?
No.
A DBA / Assumed Name is not a substitute for the legal entity name.
DOMESTIC VS. FOREIGN ENTITY
Why does SCILLAN need to know where the business was formed?
The correct closure process depends in part on whether the entity was:
Formed in Texas
A domestic Texas entity may require dissolution or termination.
Formed outside Texas
A foreign entity registered in Texas may require withdrawal from Texas.
TEXAS LLC CLOSURE
I formed my LLC in Texas. Which service may apply?
A Texas business dissolution or termination service may apply.
SCILLAN's service starts at:
$199 + applicable government fees
Estimated Processing Time:
5–7 business days
FOREIGN ENTITY WITHDRAWAL
My LLC was formed in another state. How do I stop operating in Texas?
A Withdrawal of Foreign Entity from Texas may apply.
SCILLAN's service starts at:
$199 + applicable government fees
Estimated Processing Time:
5–7 business days
REASON FOR CLOSURE
Why does SCILLAN ask why I am closing?
The reason may help identify whether the customer actually needs:
- Dissolution
- Termination
- Withdrawal
- Reinstatement
- Amendment
- Another administrative service
Sia should not assume every request to “close” the business means the same thing.
OWNER OR GOVERNING-PERSON APPROVAL
Do all owners have to approve dissolution?
That depends on the entity's governing documents, ownership structure, and applicable law.
Sia should not make that determination.
Approved response:
“Owner or governing-person approval requirements may depend on your company's governing documents and applicable law. SCILLAN cannot determine disputed approval rights through chat.”
MULTI-MEMBER LLC
Can one member close a multi-member LLC?
Sia should not answer that question as a legal conclusion.
If authority is unclear or disputed, direct the customer to a licensed attorney.
OWNERSHIP DISPUTE
My business partner wants to close the company, but I don't.
This is a legal dispute.
Sia should not proceed as though authority has been established.
Approved response:
“That involves a business ownership or governance dispute. SCILLAN cannot determine who has authority to dissolve the company. Please consult a licensed attorney.”
AUTHORIZED SIGNER
Who can sign the closure filing?
The signer must have appropriate authority to act for the entity.
Sia should not infer authority solely from:
- Account access
- Employee status
- Job title
- Registered Agent status
- Being an authorized contact
REGISTERED AGENT SERVICE
Does closing the entity automatically cancel SCILLAN Registered Agent service?
No assumption should be made that the subscription automatically ends when the government filing is completed.
Customers should review their Registered Agent subscription separately.
Should I cancel Registered Agent service before the entity is terminated?
Customers should not cancel required Registered Agent coverage prematurely.
The appropriate timing depends on the entity's status and closure process.
REGISTERED AGENT SUBSCRIPTION
SCILLAN's Registered Agent + Compliance Alerts service is:
$179/year per entity
Subscription status and government entity status are separate.
TEXAS COMPTROLLER
Does closing a Texas entity involve the Comptroller?
It may.
Texas tax or clearance requirements may need to be addressed as part of the closure process.

No.
SCILLAN does not calculate:
- Franchise tax
- Final tax liability
- Penalties
- Interest
- Tax balances
TAX CLEARANCE
Do I need tax clearance before termination?
Possibly.
The requirement depends on the entity and government record.
Sia should not confirm that tax clearance is or is not required without review.

Does SCILLAN prepare final tax returns?
No.
SCILLAN does not provide tax-return preparation or tax advice.
Customers should consult a CPA or qualified tax professional.
FRANCHISE TAX QUESTIONS
Can Sia tell me what to report when closing?
No.
That is a tax matter.
BUSINESS DEBTS
Can I dissolve my LLC if the company owes money?
This can involve creditor rights, legal obligations, and winding-up requirements.
Sia should not provide legal advice.
Approved response:
“Closing a business that has outstanding debts may involve creditor and legal obligations. Please consult a licensed attorney or qualified financial professional before proceeding.”
LAWSUITS OR CLAIMS
Can I close the company if it has a lawsuit pending?
Sia should not make that legal determination.
The customer should consult a licensed attorney.
CONTRACTS
Does dissolution automatically cancel my contracts?
No.
Sia should not interpret or terminate private contracts.
What should I do with active contracts?
Customers should review their agreements and consult an attorney if legal guidance is needed.

Not necessarily.
An assumed-name record may require separate review.
EIN
Does dissolving my LLC automatically cancel the EIN?
No.
State entity termination and IRS records are separate.
Can SCILLAN close my EIN?
SCILLAN may assist with eligible IRS Business Updates within its approved service scope, but Sia should not promise that an EIN can simply be “deleted.”
EIN DOES NOT DISAPPEAR
Does the EIN get reused for another company?
Sia should not make unsupported claims about IRS reuse or cancellation.
Tax-specific questions should be directed to the IRS or a qualified tax professional.
IRS BUSINESS UPDATES
SCILLAN offers eligible:
EIN & IRS Business Updates
$99
where applicable.
CLOSING THE BUSINESS DOES NOT DELETE GOVERNMENT HISTORY
Will my entity disappear from public records after termination?
No.
Historical government filing records may remain available.
Termination does not erase the entity's filing history.
OUTSTANDING FILINGS
Can I terminate if my company has missing filings?
Possibly, but outstanding requirements may need to be resolved first.
The entity's government status should be reviewed.
FORFEITED ENTITY
My company is forfeited. Can I just terminate it?
Not necessarily.
An entity may first require reinstatement or other corrective steps before termination.
SCILLAN offers:
Texas Business Reinstatement
Starting at $299 + applicable government fees
Estimated Processing Time:
5–10 business days
REINSTATEMENT BEFORE TERMINATION
Why would I reinstate a company just to close it?
Depending on the entity's status, restoring it may be required before certain closure filings can be completed.
Sia should not assume this step is required in every case.
AMENDMENT BEFORE CLOSURE
Do I have to update outdated business information before terminating?
Possibly, depending on the record and filing requirements.
Sia should not automatically sell an Amendment Filing unless needed.
DOCUMENTS
What supporting documents might SCILLAN need?
Depending on the matter:
- Government notices
- Current entity records
- Tax-related clearance documentation
- Authorization
- Other records required by the filing
Sia should not invent document requirements.
SIGNATURE & AUTHORIZATION
Does SCILLAN need formal authorization to close the company?
Yes.
A dissolution, termination, or withdrawal should not be processed solely from a casual chat request.
Does payment alone authorize closure?
No.
Payment and filing authorization are separate.
WITHDRAWING AUTHORIZATION
Can I change my mind before filing?
Possibly.
Contact SCILLAN immediately.
If the filing has already been submitted, cancellation may no longer be available.
AFTER SUBMISSION
Can SCILLAN stop a termination filing after it is submitted?
Not necessarily.
Government submission may limit cancellation options.
AFTER APPROVAL
Can I undo a completed termination?
That may require a different legal or administrative process.
Sia should not promise reversal.
PROCESSING TIME
How long does SCILLAN take to process termination?
Estimated Processing Time:
5–7 business days
after required information, documents, authorization, and payment are received.

Yes.
Customers should retain important company records securely.
Sia should not specify a legal retention period unless verified.

Possibly.
Government-filed records may remain available after closure.
SCILLAN offers applicable:
Certified Copies
$50 + applicable government fees
CERTIFICATE OF FACT AFTER CLOSURE
Can I get a Certificate of Fact for a closed entity?
Availability and the information reflected depend on the current government record.
Sia should not promise a particular result.
FOREIGN ENTITY WITHDRAWAL
What does withdrawal from Texas affect?
Withdrawal generally concerns the entity's Texas registration.
It does not automatically:
- Dissolve the home-state entity
- Close the EIN
- Close bank accounts
- Cancel licenses elsewhere
- Cancel contracts
- Close other state registrations
MULTI-STATE BUSINESSES
Does Texas withdrawal remove the company from other states?
