SCILLAN prepares the formation filing based on the information provided by the customer.
Customers are responsible for providing accurate information and making their own decisions regarding:
- Entity type
- Business name
- Ownership
- Management structure
- Governing persons
- Corporate share structure
- Partnership structure
- Professional entity structure
- Business purpose
- Tax classification
SCILLAN does not make these decisions for the customer.
STEP 1 — SELECT THE BUSINESS ENTITY TYPE
The customer should first identify the type of Texas entity they want to form or register.
Available formation types may include:
Limited Liability Company
LLC
For-Profit Corporation
Nonprofit Corporation
Professional Limited Liability Company
PLLC
Professional Corporation
PC
Limited Partnership
LP
Limited Liability Partnership
LLP
If the customer is unsure which entity type to choose, Sia may explain general differences but should not recommend one structure over another.
APPROVED ENTITY-SELECTION RESPONSE
Use:
“SCILLAN can prepare the formation filing for the entity type you select. Because your choice can affect ownership, governance, liability, taxes, and other legal matters, SCILLAN cannot recommend which entity type is best for you.”
STEP 2 — PROPOSED LEGAL ENTITY NAME
Customers should provide the exact proposed legal name of the business.
Examples:
- ABC Ventures LLC
- ABC Holdings, Inc.
- ABC Community Foundation
- ABC Medical PLLC
Customers should carefully verify:
- Spelling
- Punctuation
- Abbreviations
- Entity designation
- Special wording
before approving the formation.
NAME AVAILABILITY
Does completing the intake mean my name is approved?
No.
The applicable Texas government authority determines whether the proposed entity name can be accepted.
Sia should not guarantee name availability.
ALTERNATE BUSINESS NAME
SCILLAN may request an alternate proposed name in case the customer's first choice cannot be accepted.
Sia should not guarantee that an alternate name will be approved.
LEGAL NAME VS. DBA
A DBA or assumed name is not the same as the entity's legal name.
Example:
Legal Entity:
ABC Ventures LLC
DBA:
ABC Coffee
The formation intake should use the legal entity name.
STEP 3 — BUSINESS ADDRESS
Customers should provide the applicable business address requested for the formation.
This may include:
- Street address
- City
- State
- ZIP code
Additional address information may be required depending on the entity and filing.
MAILING ADDRESS
If the business uses a different mailing address, the customer should provide that separately where requested.
A mailing address and business address should not automatically be treated as the same.
REGISTERED AGENT ADDRESS IS DIFFERENT
If SCILLAN is selected as Registered Agent, SCILLAN's Registered Office address should not automatically be used as the customer's:
- Principal business address
- General mailing address
- Virtual office
- Virtual mailbox
- Storefront
- Package-receiving address
STEP 4 — REGISTERED AGENT INFORMATION
Texas formation filings generally require Registered Agent information as applicable.
The customer should indicate whether:
- SCILLAN will serve as Registered Agent, or
- Another Registered Agent will be designated

Registered Agent service is separate from the formation filing unless the selected package expressly includes it.
CUSTOMER PROVIDES ANOTHER REGISTERED AGENT
If the customer selects another Registered Agent, SCILLAN may need information such as:
- Registered Agent name
- Registered Office address
- Applicable consent or authorization
Customers are responsible for ensuring the selected Registered Agent is willing and eligible to serve.
STEP 5 — CUSTOMER CONTACT INFORMATION
Customers should provide accurate contact information, including as applicable:
- Full name
- Email address
- Phone number
- Mailing address
- Preferred contact information
Customers should use an email account they actively monitor.
PRIMARY CONTACT
The primary contact is the person SCILLAN generally communicates with regarding the formation order.
The primary contact is not automatically:
- Owner
- Member
- Manager
- Director
- Officer
- Authorized signer
Those roles should be separately identified where applicable.
STEP 6 — BUSINESS PURPOSE OR ACTIVITY
Customers may be asked to describe the company's business activity or purpose.
The description should be accurate and based on the customer's intended business.
Sia may help simplify wording but should not invent business activities.
REGULATED OR PROFESSIONAL ACTIVITIES
If the business will provide regulated professional services, additional information or review may be required.
Examples may include professions subject to:
- State licensing
- Professional boards
- Regulatory agencies
Sia should not determine whether a particular professional entity structure is legally required.
STEP 7 — GOVERNING PERSON INFORMATION
Depending on entity type, customers may need to provide information for one or more:
- Members
- Managers
- Directors
- Officers
- General partners
- Partners
- Other governing persons
The exact information required depends on the formation type.
GOVERNING PERSON DETAILS
Information may include:
- Full legal name
- Role or title
- Address where required
- Contact information where appropriate
Additional information may be required depending on the filing.
STEP 8 — OWNERSHIP INFORMATION
Some SCILLAN workflows may request ownership information for administrative purposes.
Customers are responsible for determining:
- Who owns the entity
- Ownership percentages
- Member interests
- Share ownership
- Partnership interests
Sia should not determine ownership allocations.
OWNERSHIP DISPUTES
If two or more people disagree about ownership:
Do not continue as a routine formation intake issue.
Escalate for legal review.
STEP 9 — MANAGEMENT OR GOVERNANCE STRUCTURE
The customer may need to make management or governance selections depending on the entity type.
LLC MANAGEMENT STRUCTURE
For an LLC, the customer may need to select:
- Member-managed
- Manager-managed
SCILLAN does not choose between them.
CORPORATION GOVERNANCE
For a corporation, customers may need to provide applicable information regarding:
- Directors
- Officers
- Share structure
- Other formation-related governance information
Sia should not design the corporate governance structure.
PARTNERSHIP GOVERNANCE
For LPs and LLPs, customers may need to identify applicable:
- General partners
- Partners
- Partnership information
- Authorized representatives
SCILLAN should not decide how partnership rights or liability should be structured.
STEP 10 — AUTHORIZED SIGNER
SCILLAN may require an authorized person to approve or sign the filing.
The customer should provide:
- Signer's full name
- Role or title
- Entity represented
- Contact information where required
- Signature or electronic authorization where applicable
PAYMENT DOES NOT EQUAL SIGNATURE AUTHORITY
Purchasing the service does not automatically establish authority to sign the formation filing.
PORTAL ACCESS DOES NOT EQUAL SIGNING AUTHORITY
A person with access to the SCILLAN Client Portal is not automatically an authorized signer.
STEP 11 — ORGANIZER INFORMATION
Where required, formation filings may include organizer information.
SCILLAN may prepare the filing using the appropriate approved organizer process.
Sia should not make legal claims about organizer authority beyond the applicable administrative workflow.
STEP 12 — EFFECTIVE DATE
Where the filing permits an applicable effective-date selection, the customer may need to provide the desired timing.
Sia should not invent available effective-date rules.
If the customer requests a special delayed or future effective date and the requirements are unclear:

LLC-SPECIFIC INTAKE
For a Texas LLC, customers should generally be prepared to provide:
- Proposed LLC legal name
- Alternate name if requested
- Business address

NONPROFIT TAX-EXEMPT STATUS

Customers should provide accurate information.
Sia should not:
- Validate professional eligibility on its own
- Determine whether a license satisfies a regulatory board
- Advise whether a profession requires a particular entity type

Depending on the entity or circumstances, SCILLAN may request additional:
- Supporting documents
- Professional information
- Authorization
- Government information
- Clarification
Sia should not promise that the standard intake checklist is exhaustive.
SENSITIVE INFORMATION
Customers should not provide unnecessary sensitive information through Sia.
Do not request:
- Social Security numbers
- Full taxpayer identification numbers
- Banking credentials
- Full payment-card numbers
- Passwords
- Government portal credentials
- Driver's license numbers
- Passport numbers
Use SCILLAN's approved secure intake process where sensitive information is required.
FORMATION REVIEW
After the customer completes intake, SCILLAN may review the information for:
- Completeness
- Internal consistency
- Required filing fields
- Missing information
- Required authorization
- Administrative filing readiness
SCILLAN's review is not legal advice.
MISSING INFORMATION
If required information is missing, the formation may remain:
Awaiting Information
until the customer responds.
INCOMPLETE INTAKE MAY DELAY PROCESSING
Estimated Processing Time generally begins after SCILLAN has received all required:
- Information
- Documents
- Verification
- Signatures
- Authorization
- Payment
CUSTOMER REVIEW BEFORE FILING
Customers should carefully review the formation information before submission.
Pay particular attention to:
- Legal name spelling
- Addresses

CHANGES BEFORE SUBMISSION
I made a mistake in the intake.
