Texas Annual Compliance Filing Support Intake Checklist & Information Needed

ANNUAL COMPLIANCE FILING SUPPORT

SCILLAN offers:

Texas Annual Compliance Filing Support

SCILLAN Fee:
$99 + applicable government fees
Estimated Processing Time:
3–5 business days after Annual Verification is completed

ANNUAL VERIFICATION

What is Annual Verification?

Annual Verification is SCILLAN's process for confirming that the information needed for an applicable annual compliance filing is current before the filing is prepared.

How long does Annual Verification take?

Annual Verification generally takes:
5–10 minutes

Why does SCILLAN require Annual Verification?

Business information can change from year to year.
Annual Verification helps SCILLAN confirm the current information before preparing the applicable filing.

IMPORTANT COMPLIANCE RULE

A Compliance Alert, Annual Verification, filing preparation, government submission, and government acceptance are separate steps.
A customer should not assume that completing one means all of the others have occurred.

BASIC ANNUAL COMPLIANCE INTAKE CHECKLIST

Customers should generally be prepared to confirm:

  • Exact legal entity name
  • Texas entity information
  • Current business address
  • Mailing address where applicable
  • Current contact information
  • Current governing-person information
  • Current management information where applicable
  • Registered Agent information
  • Relevant changes since the prior filing
  • Applicable business information requested through Annual Verification
  • Supporting documents if requested
  • Required authorization
  • Signature where applicable
  • Payment

Additional information may be required depending on the filing and entity.

LEGAL ENTITY NAME

What name should I provide?

Customers should provide the exact legal entity name reflected in the applicable Texas government record.

Should I use my DBA instead?

No.
The legal entity name and DBA / Assumed Name should be kept separate.

TEXAS ENTITY INFORMATION

Why does SCILLAN need my entity information?

SCILLAN needs to ensure the compliance filing is associated with the correct legal entity.
This is especially important for customers with multiple companies.

BUSINESS ADDRESS

Will SCILLAN verify my business address?

Applicable address information may be reviewed during Annual Verification.
Customers should provide current and accurate information.

What if my address changed?

Tell SCILLAN during Annual Verification.
A separate government update or Amendment Filing may be required depending on which address changed.
SCILLAN's Amendment Filing service is:
$99 + applicable government fees

CONTACT INFORMATION

Should I update my email or phone number during Annual Verification?

Yes.
Customers should provide current contact information so SCILLAN can communicate about the service.

Does changing my SCILLAN contact email update the State?

No.
SCILLAN account information and government records are separate.

GOVERNING PERSON INFORMATION

Will SCILLAN ask about managers, members, officers, or other governing persons?

Possibly.
The applicable filing may require current governing or management information.

What if a governing person changed?

The change should be disclosed during Annual Verification.
Additional filings may be required depending on the circumstances.
Sia should not assume the annual filing alone updates every government record.

OWNERSHIP INFORMATION

Does Annual Verification update ownership?

Not necessarily.
Ownership and governing-person information are not always the same.

Can Sia decide who should be listed as an owner?

No.

What if ownership changed during the year?

The customer should disclose the change.
Ownership changes may involve:

  • Internal company records
  • Operating Agreement updates
  • Tax considerations
  • Government filings where applicable

Sia should not determine the legal or tax effect.

REGISTERED AGENT INFORMATION

Will SCILLAN verify my Registered Agent?

Applicable Registered Agent information may be reviewed where relevant to the entity record.

What if I want to switch to SCILLAN?

SCILLAN offers:

Texas Registered Agent + Compliance Alerts

$179/year per entity
Preparation of the Change of Registered Agent is included with annual enrollment.
Applicable government filing fees may still apply.

REGISTERED AGENT SERVICE VS. ANNUAL FILING

Is Annual Compliance Filing Support included in Registered Agent service?

No.
These are separate services.

Registered Agent + Compliance Alerts

$179/year per entity

Annual Compliance Filing Support

$99 + applicable government fees

COMPLIANCE ALERTS

Does Registered Agent service include reminders?

Yes.
Where applicable, SCILLAN may send Compliance Alerts:

  • 90 days before a deadline
  • 60 days before
  • 30 days before
  • 1 week before

Do reminders mean my annual filing is already being handled?

No.
A reminder is not a filing order or government submission.

FILING PURCHASE

Do I need to purchase Annual Compliance Filing Support after receiving a reminder?

If the customer wants SCILLAN to handle an eligible filing, the Annual Compliance Filing Support service must generally be purchased separately unless already included in an approved arrangement.

ANNUAL VERIFICATION DOES NOT MEAN SUBMITTED

I completed Annual Verification. Is my filing already submitted?

Not necessarily.
After verification, SCILLAN may still need to:

  • Review the information
  • Prepare the filing
  • Request clarification
  • Obtain authorization or signature
  • Submit the filing

CURRENT INFORMATION VS. PRIOR YEAR

Can SCILLAN just use the information from last year?

SCILLAN should verify current information rather than assume everything remains unchanged.

What if nothing changed?

The customer should still complete the required Annual Verification so SCILLAN can confirm that the information remains current.

BUSINESS CHANGES

What changes should I tell SCILLAN about?

Customers should disclose applicable changes such as:

  • Legal entity name
  • Business address
  • Mailing address
  • Registered Agent
  • Governing persons
  • Management information
  • Contact information
  • Other requested filing information

LEGAL NAME CHANGE

The annual compliance process should use the current government record.
If a separate legal-name amendment is needed, SCILLAN offers:

Amendment Filing

$99 + applicable government fees

DBA CHANGE

Should I tell SCILLAN if my DBA changed?

Yes, where relevant.
A DBA and the legal entity name are separate records.
SCILLAN's DBA / Assumed Name Filing service is:
$99 + applicable government fees

TAX INFORMATION

Will Annual Verification ask about tax information?

The applicable filing process may involve information associated with Texas compliance.
However, SCILLAN does not provide tax advice or calculate tax liability.

FRANCHISE TAX

Can SCILLAN calculate my Texas franchise tax?

No.
Approved response:
“SCILLAN can assist with eligible administrative compliance filings, but it does not calculate franchise-tax liability or provide tax advice. Please consult the Texas Comptroller or a qualified tax professional for tax-specific questions.”

NO TAX DUE QUESTIONS

Can Sia tell me whether I owe no tax?

No.
Sia should not determine:

  • Tax liability
  • Tax exemption
  • No-tax-due eligibility
  • Applicable tax threshold
  • Tax calculation

PUBLIC INFORMATION REPORT

Could the annual compliance process involve a Public Information Report?

Possibly.
Public Information Reports are associated with applicable Texas Comptroller reporting requirements.
Sia should not determine tax-related filing treatment without verified information.

TEXAS COMPTROLLER

Will SCILLAN need information from the Comptroller?

Possibly, depending on the filing and entity status.

What if I received a Comptroller notice?

Customers should:

  1. Review the notice promptly.
  2. Identify any deadline.
  3. Save a copy.
  4. Contact SCILLAN Support if administrative assistance is needed.
  5. Consult a tax professional for tax interpretation.

GOVERNMENT NOTICE UPLOAD

Can I send a Comptroller notice through Sia?

Do not paste sensitive tax or identity information into chat.
Use the approved secure document method.

SENSITIVE INFORMATION

Sia should never request through chat:

  • Social Security numbers
  • Taxpayer identification numbers
  • Full tax returns
  • Banking credentials
  • Credit card details
  • Passwords
  • Government portal credentials
  • Driver's license or passport information

MISSED DEADLINE

I already missed my annual filing deadline.

Contact SCILLAN Support promptly.
The appropriate next step depends on:

  • Entity status
  • Filing involved
  • Government agency
  • Outstanding requirements

Sia should not guess the penalty or consequence.

LATE FILING

Can SCILLAN still help after the deadline?

Possibly.
SCILLAN may be able to assist with an eligible late filing or related administrative process.

PENALTIES

Can Sia tell me what the penalty will be?

No.

FORFEITED ENTITY

My entity is forfeited. Can I still use Annual Compliance Filing Support?

The entity may require reinstatement or other corrective steps.
SCILLAN offers:

Texas Business Reinstatement

Starting at $299 + applicable government fees
Estimated Processing Time:
5–10 business days

REINSTATEMENT VS. ANNUAL FILING

Are they the same service?

No.
Annual Compliance Filing Support addresses an eligible recurring compliance filing.
Reinstatement addresses an entity that needs its status restored.

SIGNATURE AND AUTHORIZATION

Will I need to sign anything?

Possibly.
The applicable filing may require:

  • Signature
  • Electronic approval
  • Authorization
  • Certification

Customers should complete the approved SCILLAN workflow.

Does payment automatically authorize the filing?

Not necessarily.
Payment and filing authorization are separate.

AUTHORIZED SIGNER

Who can approve the filing?

The signer should have appropriate authority for the applicable entity and filing.
Sia should not decide disputed signing authority.

PROCESSING TIME

How long does SCILLAN take after Annual Verification?

SCILLAN's Estimated Processing Time is:
3–5 business days after Annual Verification is completed
provided all other required information, authorization, and payment have also been received.

GOVERNMENT PROCESSING

Does the 3–5 business days include government turnaround?

No.
SCILLAN's processing time and government processing time are separate.

INCOMPLETE VERIFICATION

What if I don't finish Annual Verification?

SCILLAN may be unable to proceed with the filing.
The order may remain on hold until required information is received.

MISSING INFORMATION

What if SCILLAN needs additional information after verification?

SCILLAN may contact the customer for clarification or supporting information.
Processing may pause until the requested item is received.

FILING STATUS

What does “In Review” mean?

SCILLAN is reviewing the information before the next step.

What does “Submitted” mean?

The filing has been sent to the applicable agency.
It does not mean it has been approved.

What does “Approved” or “Accepted” mean?

The applicable government agency has accepted the filing where that status applies.

REJECTION

What if the annual filing is rejected?

Contact SCILLAN Support.
The rejection may require:

  • Corrected information
  • Additional documentation
  • Resubmission
  • Another administrative step

Do not place a duplicate order automatically.

CUSTOMER-PROVIDED ERRORS

What if I gave SCILLAN incorrect information?

Contact Support immediately.
If the filing has not been submitted, the information may be correctable.
If already submitted, another filing or correction may be required.

MULTIPLE ENTITIES

Can one Annual Verification cover all my companies?

No assumption should be made that it does.
Each legal entity should be separately reviewed and tracked.

Does each company need its own filing service?

Where separate filings are required, each entity generally needs its own service record and applicable fee.

MULTIPLE-ENTITY REGISTERED AGENT SERVICE

Each legal entity also requires its own Registered Agent subscription.
Current price:
$179/year per entity

LLP FILINGS

Are LLP annual filings the same as LLC compliance filings?

No.
Texas LLP annual reporting may have a separate filing process and fee structure.
Sia should not quote an LLP annual service fee unless specifically approved.

FOREIGN ENTITIES

Can a foreign-qualified entity have annual Texas compliance requirements?

Yes, potentially.
The exact requirements depend on the entity and circumstances.
Sia should not provide legal or tax conclusions without verified information.

NEWLY FORMED ENTITIES

Do I need Annual Compliance Filing Support immediately after formation?

Not necessarily.
The customer's future compliance schedule depends on the applicable requirements.
Sia should not invent an annual deadline.
