Can I add an Operating Agreement to my Formation order?

Yes, where available through the applicable ordering process.

No.
SCILLAN's standard offering is template-based.
Customized legal drafting should be handled by a licensed attorney.

FORMATION + DBA

Can I add a DBA to my Formation order?

Yes, if the customer needs an assumed name and the filing is appropriate.
SCILLAN's DBA / Assumed Name Filing service is:

Does every new LLC need a DBA?

No.
Sia should not present a DBA as mandatory.
A DBA is generally relevant when the business wants to operate under an assumed name different from its legal entity name.

FORMATION + CERTIFICATE OF FACT

Do I need a Certificate of Fact immediately after formation?

Not necessarily.
A Certificate of Fact may be requested later by a:

• Bank
• Lender
• Vendor
• Licensing authority
• Other third party

Sia should not automatically add this service unless the customer needs it.

Does Registered Agent service include Annual Compliance Filing Support?

I changed my company name. Do I need both an Amendment and an IRS Update?

Possibly.
A Texas amendment and an IRS business-record update are separate processes.

DBA + AMENDMENT

Is a DBA the same as changing my legal company name?

No.
These are different.

DBA / Assumed Name

Allows the business to use an alternate name.

Amendment

Changes eligible information in the legal entity's government record, such as the legal entity name.

Which service should I choose?

If the customer wants to keep the legal entity name but use another business name:
DBA / Assumed Name Filing may be appropriate.
If the customer wants to change the entity's legal name:
Amendment Filing may be appropriate.

DISSOLUTION + DOCUMENT SERVICES

Can I order a Certificate of Fact before closing my business?

Yes, where available and needed.
However, a Certificate of Fact is not automatically required for every dissolution.
Sia should not add it unless relevant.

DISSOLUTION + REGISTERED AGENT CANCELLATION

Does dissolving my business automatically cancel Registered Agent service?

No assumption should be made that the billing subscription automatically ends when a government filing is completed.
Customers should review their Registered Agent subscription separately.

MULTIPLE SERVICES FOR ONE ENTITY

Can I purchase several services for the same LLC?

Yes.
For example, one entity may have:

Each service should be associated with the correct legal entity.

MULTIPLE ENTITIES

Can I buy the same service for several entities?

Is Priority Service the same as Texas Express?

No.
SCILLAN Priority Service relates to SCILLAN handling.
Texas Express relates to expedited government processing for eligible Texas Secretary of State filings.

TEXAS EXPRESS AS AN ADD-ON

For eligible filings, Texas Express options may include:

• Standard Expedited — $50 per document
• Next-Day — $500 per document
• Same-Day — $750 per document

These are government expedited-processing fees.

PROMOTIONS AND BUNDLES

Can a promotional offer be combined with a bundle?

Only if the applicable promotional terms allow it.
Sia should not promise that multiple discounts or offers can be combined.

Can I combine the Expo Registered Agent offer with Formation?

The Expo offer applies according to its specific terms.
