Ownership, management, filing records, and signing authority are related but not always the same.

without every role being identical.

LLC MEMBER

What is an LLC member?

A member is generally an owner of a limited liability company.
An LLC may have:

Is a member the same as a manager?

Not necessarily.
A member may own the LLC, while management authority may be assigned differently depending on the company's structure and governing documents.

Can Sia tell me what percentage each member owns?

No.
Ownership percentages should come from the company's records, agreements, or other verified information.
Sia should not invent or allocate ownership percentages.

SINGLE-MEMBER LLC

What is a single-member LLC?

A single-member LLC generally has one owner.
Sia may explain the term but should not provide tax advice about how the entity is classified or taxed.

Does single-member mean the owner manages everything?

Not necessarily.

MULTI-MEMBER LLC

What is a multi-member LLC?

What is an LLC manager?

Can someone be a manager without owning the company?

MEMBER-MANAGED VS. MANAGER-MANAGED

What does member-managed mean?

What does manager-managed mean?

Can Sia tell me which structure I should choose?

What is an officer?

An officer generally holds a business role such as:

Are officers always owners?

DIRECTORS

What is a director?

Can I add someone as an authorized contact?

Where supported, yes.
SCILLAN may require account verification before adding or changing authorized contacts.

AUTHORIZED SIGNER

What is an authorized signer?

An authorized signer is a person who has authority to sign a particular document or take a particular action on behalf of the business.
Authority may depend on:

  • Governing documents
  • Company resolutions
  • Entity structure
  • Role
  • Applicable law

Can Sia decide who is authorized to sign?

Not when authority is unclear or disputed.

SIGNING FILINGS

Who can sign a business filing?

The person signing must have appropriate authority for the applicable filing.

Can SCILLAN sign for me?

No.
Required customer signatures or authorizations must come from an appropriately authorized person.

Can an employee sign?

Possibly, if the employee has the required authority.
Sia should not assume authority based solely on job title.

OWNERSHIP CHANGES

Can SCILLAN change ownership of my LLC?

Ownership changes may involve more than a simple government filing.
SCILLAN may assist with eligible administrative filings after the underlying ownership decision has been properly made.

Does changing ownership always require an Amendment Filing?

No.
Not every ownership change is handled through the same government filing.
Sia should not automatically recommend an amendment.

Can SCILLAN tell me how to transfer ownership?

No.

ADDING A MEMBER

Can I just file an amendment to remove someone?

OWNERSHIP DISPUTES

My business partner says I no longer own the company.

This is a legal dispute.
Sia should not decide who owns the business.

What is a beneficial owner?

A beneficial owner generally refers to an individual who owns or controls an entity under the applicable definition used by the relevant law, agency, financial institution, or compliance process.
Definitions may vary.

Can Sia determine who qualifies as a beneficial owner?

Not without a clearly defined approved rule and the relevant facts.
Sia should not make a legal or regulatory determination when the definition is unclear.

BANK KYC OR OWNERSHIP QUESTIONS

My bank wants ownership information. Can SCILLAN provide it?

SCILLAN may provide available entity records or administrative information where authorized, but the bank determines what documentation it requires.

Can SCILLAN certify who owns the company?

Sia should not promise an ownership certification unless SCILLAN specifically offers and verifies such a service.

OWNERSHIP AND EIN

Does an ownership change automatically update the IRS?

No.
IRS records are separate.

Does changing owners change the Registered Agent?
