MOST IMPORTANT ADDRESS-CHANGE RULE

There is no single “business address” record that automatically updates everywhere.
A business may have separate address or contact information with:

  • SCILLAN
  • Texas Secretary of State
  • Texas Comptroller
  • IRS
  • Registered Agent
  • Bank
  • Payroll provider
  • Insurance company
  • Licensing agencies
  • Vendors
  • Payment processors
  • Website
  • Google Business
  • Other third parties

Updating one record does not automatically update all of the others.

FIRST QUESTION SIA SHOULD ASK

When a customer says:
“I need to change my address.”
Sia should determine:

  1. Which legal entity?
  2. Which address is changing?
  3. Which agency or system needs the update?
  4. What is the old address?
  5. What is the new address?
  6. Has the move already occurred?
  7. Is the Registered Agent changing too?
  8. Does the customer also need an IRS update?

Sia should not immediately recommend an Amendment Filing without identifying the record involved.

TYPES OF BUSINESS ADDRESSES

Customers may be referring to different types of addresses.
These may include:

  • Principal business address
  • Mailing address
  • Registered Office
  • Registered Agent address
  • IRS business address
  • Comptroller address
  • Billing address
  • Client Portal contact address
  • Physical office address
  • Virtual office address
  • Owner or governing-person address

These are not automatically interchangeable.

BASIC ADDRESS-CHANGE INTAKE CHECKLIST

Customers should generally be prepared to provide:

  • Exact Legal Entity Name
  • Entity type
  • Texas entity information where applicable
  • Type of address being changed
  • Current address
  • New address
  • Effective date if relevant
  • Agency or record needing the update
  • Registered Agent information if relevant
  • Customer contact information
  • Authorized signer where required
  • Supporting documentation if requested
  • Required authorization
  • SCILLAN order number if an existing service is involved

LEGAL ENTITY NAME

What business name should I provide?

Customers should provide the exact Legal Entity Name reflected in the applicable government record.
A DBA should not replace the legal entity name when identifying the entity.

PRINCIPAL BUSINESS ADDRESS

What is a principal business address?

This generally refers to the business's primary business location or address used for applicable business records.
It is different from the Registered Office.

MAILING ADDRESS

Is my mailing address the same as my business address?

Not necessarily.
A business may receive correspondence at a different location from its physical or principal business location.

REGISTERED OFFICE

What is the Registered Office?

The Registered Office is the Texas address associated with the Registered Agent function.
It should not automatically be used as the company's:

  • General mailing address
  • Principal office
  • Customer-facing location
  • Package-receiving address
  • Virtual mailbox
  • Storefront

REGISTERED AGENT ADDRESS

Can I use SCILLAN's Registered Agent address as my business address?

No, not automatically.
SCILLAN's Registered Agent address is intended for the Registered Agent function and applicable official notices.
It is not a general business-mail or virtual-office service.

REGISTERED AGENT ADDRESS FOR MAIL

Can I send bank statements, vendor mail, or packages there?

No.
SCILLAN Registered Agent service does not include general:

  • Business mail
  • Customer mail
  • Bank mail
  • Vendor mail
  • Packages
  • Personal mail

REGISTERED AGENT CHANGE VS. ADDRESS CHANGE

I changed Registered Agents. Is that the same as changing my business address?

No.
A Registered Agent change affects the Registered Agent record.
A business-address change may require a different update.

If I change my address with Texas, will the IRS update automatically?

No.
Texas and IRS records are separate.

IRS CHANGE DOES NOT UPDATE TEXAS

If SCILLAN updates my IRS address, will Texas update automatically?

No.
The Texas Secretary of State and Texas Comptroller maintain separate records.

TEXAS COMPTROLLER ADDRESS

Does changing my Secretary of State address update the Comptroller?

Do not assume so.
The Texas Comptroller maintains separate records and processes.

CAN SCILLAN UPDATE THE COMPTROLLER?

SCILLAN may assist with eligible administrative compliance matters, but Sia should not invent a specific address-update service or fee unless it is part of an approved workflow.
If the customer specifically needs a Comptroller record changed:

I changed my address in the Client Portal. Is the government updated?

No.
Updating SCILLAN's internal customer or portal record does not automatically change:

  • Texas Secretary of State
  • Texas Comptroller
  • IRS
  • Bank
  • Licenses
  • Other third parties

SCILLAN ACCOUNT CONTACT ADDRESS

Can I update my contact information with SCILLAN?

Yes.
Customers should keep their SCILLAN contact information current.
The update may affect SCILLAN communications but does not automatically update government records.

EMAIL ADDRESS CHANGE

I changed my email address.

Customers should identify whether the change applies to:

  • Client Portal login
  • Registered Agent notifications
  • Compliance Alerts
  • Billing
  • General customer contact

These may not all be the same record.

REGISTERED AGENT NOTIFICATION EMAIL

SCILLAN's standard Registered Agent notifications are primarily:
Email-based
Customers should provide a current, actively monitored email.

COMPLIANCE ALERT EMAIL

Compliance Alerts may be sent:

  • 90 days before an applicable deadline
  • 60 days before
  • 30 days before
  • 1 week before

An outdated email address could cause important reminders to be missed.

SMS CONTACT INFORMATION

Can I switch my Registered Agent alerts to text messages?

No.
SCILLAN's standard Registered Agent and Compliance Alert notifications are email-based, not SMS.

PHONE NUMBER CHANGE

I changed my phone number.

Customers should update SCILLAN's contact record where appropriate.
Changing the phone number with SCILLAN does not automatically update government agencies.

BILLING ADDRESS CHANGE

Does changing my card billing address change my LLC's official address?

No.
Billing information and entity information are separate.

OWNER HOME ADDRESS

I moved personally. Does my LLC automatically need an amendment?

Not necessarily.
The impact depends on where the individual's address appears and what record needs updating.
Sia should first identify:

  • Whether the person is listed in a government filing
  • Whether the address appears in IRS records
  • Whether only SCILLAN's contact record needs updating

GOVERNING PERSON ADDRESS

A manager or officer moved. Do I need a filing?

Possibly.
The appropriate action depends on:

  • Entity type
  • Government record
  • Filing requirements
  • Which address changed

Sia should not automatically sell an Amendment Filing without review.

MEMBER ADDRESS

A member moved.

Not every member address change requires a Secretary of State filing.
Sia should determine which record is affected.

BUSINESS MOVED TO A NEW TEXAS ADDRESS

What should the customer review?

Possible records may include:

SCILLAN only handles services within its approved service scope.

BUSINESS MOVED OUT OF TEXAS

I moved my office to another state. Is my Texas LLC automatically closed?

No.
Moving an office does not automatically dissolve or terminate a Texas entity.

MOVING DOES NOT EQUAL WITHDRAWAL

A change in physical business location should not automatically be treated as:

  • Dissolution
  • Termination
  • Withdrawal
  • Foreign Qualification

The underlying entity and business activities should be reviewed.

TEXAS LLC MOVING OPERATIONS TO ANOTHER STATE

Do I need to register in the other state?

That may depend on the laws and activities in the other jurisdiction.
SCILLAN's current service scope is Texas only.
Sia should not provide legal advice about another state's registration requirements.

OUT-OF-STATE ENTITY MOVING INTO TEXAS

I moved my out-of-state business to Texas.

The customer may need to consider whether:

is appropriate.

Whether qualification is legally required depends on the customer's activities and circumstances.

VIRTUAL OFFICE

Is a virtual office the same as a Registered Agent address?

No.
A virtual office and Registered Agent address serve different functions.

VIRTUAL MAILBOX

Is a virtual mailbox the same as a Registered Office?

No.

P.O. BOX

Can I use a P.O. Box everywhere?

Sia should not make that assumption.
Different government forms and business uses may have different address requirements.

HOME ADDRESS

Can I use my home address?

That depends on the particular filing and field.
Sia should not give broad legal or privacy advice about which address a customer should use.

ADDRESS PRIVACY

How can I keep my home address private?

Sia may explain the difference between:

  • Registered Agent address
  • Business address
  • Mailing address
  • Virtual office

but should not promise that any specific address arrangement will keep all personal information private.
Public-record requirements vary.

WRONG ADDRESS IN PENDING FILING

I noticed the address is wrong before the filing was submitted.

Contact SCILLAN immediately.
If the filing has not been submitted, the information may be correctable before filing.

WRONG ADDRESS AFTER SUBMISSION

The filing was already submitted.

A correction, amendment, or other filing may be required.

The government approved the filing with the wrong address.

A formal corrective filing may be required.
Sia should not describe the government record as something SCILLAN can simply edit.

WRONG ADDRESS ON IRS RECORD

WRONG ADDRESS ON CLIENT PORTAL ONLY

The State is correct, but SCILLAN's portal has my old address.

This may be an internal account update rather than a government filing.

WRONG ADDRESS ON BANK RECORD

SCILLAN does not update customer bank records.
Customers should contact their financial institution directly.

WRONG ADDRESS ON INSURANCE

SCILLAN does not automatically notify insurance carriers.

WRONG ADDRESS ON PAYROLL

Payroll providers maintain separate records.

WRONG ADDRESS ON LICENSE

Licensing agencies maintain separate records.

WRONG ADDRESS ON WEBSITE

Website updates are separate from corporate filing services.

GOOGLE BUSINESS ADDRESS

Google Business information is separate from Texas government records.

ADDRESS CHANGES DO NOT AUTOMATICALLY SYNC

Sia should repeatedly reinforce:
Government agencies and third parties maintain separate systems.
An update made in one place should not be assumed to appear everywhere else.

MULTIPLE ENTITIES AT SAME ADDRESS

I moved five LLCs to the same address.

Each entity's records should be separately reviewed.
A common address does not merge the entities.

MULTIPLE-ENTITY ADDRESS UPDATE

Customers should provide, for each affected entity:

  • Exact Legal Entity Name
  • Entity number where applicable
  • Current address
  • New address
  • Type of address changing
  • Agencies requiring updates

ONE ADDRESS CHANGE ORDER FOR MULTIPLE ENTITIES

Sia should not assume that one Amendment Filing fee covers multiple legal entities.
Each entity may require separate filings and government fees.

ADDRESS CHANGE AND EIN

Does moving require a new EIN?

Not automatically.
An address change by itself should not be described as creating a new EIN.

ADDRESS CHANGE AND OWNERSHIP

Changing an address does not itself change ownership.

ADDRESS CHANGE AND REGISTERED AGENT

Changing a business address does not automatically change the Registered Agent.

ADDRESS CHANGE AND DBA

Changing an address does not automatically change the legal entity name or DBA.

ADDRESS CHANGE AND COMPLIANCE

Customers should make sure future compliance and government correspondence is directed to the appropriate current address or email where applicable.

GOVERNMENT NOTICE SENT TO OLD ADDRESS

What if I missed a notice because it went to my former address?

Customers should review the notice promptly and identify:

  • Issuing agency
  • Notice date
  • Deadline
  • Entity
  • Record containing the old address

If a deadline has passed or legal/tax consequences are involved, appropriate professional review may be needed.

LEGAL DOCUMENT SENT TO OLD ADDRESS

Sia should not determine whether legal service was valid.
Recommend a licensed attorney.

BUSINESS MAIL FORWARDING

Does SCILLAN provide mail forwarding?

Standard Registered Agent service does not include general business mail forwarding.

ADDRESS CHANGE PROCESSING TIME

How long does an Amendment Filing take?

Where an eligible Amendment Filing applies:
3–5 business days

Government processing is separate.

IRS ADDRESS UPDATE TIME

For eligible EIN & IRS Business Updates:
2–5 business days for SCILLAN preparation and submission
IRS processing may take several weeks.

TEXAS EXPRESS

Can a Texas address amendment be expedited?

If the applicable Texas Secretary of State filing is eligible, Texas Express may be available.
Current government expedited options may include:

  • Standard Expedited — $50 per document, typically 2–3 business days
  • Next-Day — $500 per document
  • Same-Day — $750 per document

These are in addition to normal government filing fees.
Expedited review does not guarantee acceptance.

TEXAS EXPRESS DOES NOT APPLY TO IRS

Texas Express does not speed up IRS business-address updates.

Did the Registered Agent, governing persons, or legal name also change?

5. Match the appropriate service

6. Keep agencies separate

Do not tell the customer that one update automatically changes all records.
