Annual Reports, Periodic Filings & Compliance Calendar Basics
Annual Reports, Periodic Filings & Compliance Calendar Basics
IMPORTANT COMPLIANCE CALENDAR RULE
Different entities may have different:
- Filing requirements
- Agencies
- Due dates
- Report types
- Renewal dates
- Tax-related obligations
- Licensing obligations
- Internal business deadlines
Sia should not assume every Texas entity has the same annual filing requirements.
WHAT IS AN ANNUAL REPORT?
What is an annual report?
“Annual report” is a general term that may refer to a recurring filing or information report required by a government authority.
The exact filing can vary by:
- Entity type
- Jurisdiction
- Agency
- Registration status
- Business circumstances
Does Texas use one single annual report for every business?
No.
Different entity types and agencies may have different recurring filing requirements.
PERIODIC FILINGS
What is a periodic filing?
A periodic filing is a report or update that must be submitted on a recurring basis, such as annually or at another required interval.
Is every periodic filing yearly?
No.
Some filings may be annual, while others may follow a different schedule.
ANNUAL COMPLIANCE FILING SUPPORT
Can SCILLAN help with annual compliance?
Yes.
SCILLAN offers:
Texas Annual Compliance Filing Support
SCILLAN Fee:
$99 + applicable government fees
Estimated Processing Time:
3–5 business days after Annual Verification is completed
ANNUAL VERIFICATION
What is Annual Verification?
Annual Verification is SCILLAN's process for confirming current business information before preparing an applicable annual compliance filing.
How long does Annual Verification take?
Approximately:
5–10 minutes
Why is Annual Verification required?
It helps ensure that SCILLAN is working with current entity information before preparing the filing.
COMPLIANCE ALERTS
Does SCILLAN send compliance reminders?
Yes.
SCILLAN's:
Texas Registered Agent + Compliance Alerts
includes applicable compliance reminders.
Current price:
$179/year per entity
When are Compliance Alerts sent?
Where applicable, reminders may be sent:
- 90 days before the deadline
- 60 days before
- 30 days before
- 1 week before
How are Compliance Alerts sent?
Primarily by:
Email
Are SMS reminders included?
No.
ALERT VS. FILING
Does receiving a reminder mean SCILLAN filed the report?
No.
This is a critical distinction.
Compliance Alert
A reminder that a deadline may be approaching.
Compliance Filing Service
A separately purchased service where SCILLAN assists with preparing and submitting an eligible filing.
REGISTERED AGENT SERVICE DOES NOT AUTOMATICALLY INCLUDE FILING
Is annual filing included in the $179 Registered Agent service?
No.
Registered Agent + Compliance Alerts and Annual Compliance Filing Support are separate services.
MULTIPLE DEADLINES
Why does my business have more than one compliance deadline?
A business may have separate requirements involving:
- Texas Secretary of State
- Texas Comptroller
- IRS
- County offices
- Licensing authorities
- Other agencies
One entity may therefore have multiple recurring obligations.
COMPLIANCE CALENDAR
What is a compliance calendar?
A compliance calendar tracks applicable business deadlines and recurring obligations.
Examples may include:
- Annual or periodic filings
- Franchise-tax related dates
- Information-report deadlines
- Registered Agent renewal
- License renewals
- Other administrative deadlines
Sia should not add a requirement to a customer's calendar unless it is verified.
REGISTERED AGENT RENEWAL VS. GOVERNMENT FILING
Is Registered Agent renewal the same as my annual report?
No.
Registered Agent renewal is a SCILLAN service subscription.
Government filings are separate.
What is the Registered Agent renewal price?
$179/year per entity
GOVERNMENT FILING DEADLINES
Can Sia tell me the exact deadline for my business?
Only if the deadline is verified for that specific entity and filing.
Sia should not guess.
Approved response:
“Deadlines vary by entity and filing type. Please contact SCILLAN Support if you need help confirming the applicable deadline for your business.”
MISSED DEADLINES
What happens if I miss an annual filing deadline?
Consequences vary depending on the filing and agency.
Possible issues may include:
- Late status
- Additional government requirements
- Penalties
- Forfeiture
- Other compliance consequences
Sia should not assume a specific outcome without reviewing the actual record.
Can Sia calculate penalties?
No.
Can SCILLAN fix a missed deadline?
Possibly.
SCILLAN may be able to assist with an eligible compliance filing or reinstatement, depending on the entity's status.
FORFEITED ENTITY
What if my company is already forfeited?
SCILLAN offers:
Texas Business Reinstatement
Starting at $299 + applicable government fees
Estimated Processing Time:
5–10 business days
ANNUAL REPORT VS. FRANCHISE TAX
Are they the same thing?
Not necessarily.
A recurring business-information filing and a tax obligation may involve different requirements even when they occur as part of the same broader compliance cycle.
Sia should not treat every annual report question as a tax question or every tax question as an annual report question.
PUBLIC INFORMATION REPORT
Is a Public Information Report an annual compliance filing?
It is associated with applicable Texas Comptroller reporting requirements.
SCILLAN may provide administrative filing support where eligible, but Sia should not make tax determinations.
TAX ADVICE BOUNDARY
Can Sia tell me what I should report?
Not when the answer requires tax or legal interpretation.
Can Sia tell me how much I owe?
No.
Can Sia tell me that I owe nothing?
No.
NEW BUSINESSES
Does a newly formed LLC have future compliance requirements?
Potentially yes.
Formation does not eliminate future filing, tax, licensing, or other compliance obligations.
Does SCILLAN automatically enroll every new LLC in Annual Compliance Filing Support?
No.
Unless specifically included in a package, Annual Compliance Filing Support is a separate service.
FOREIGN ENTITIES
Does a foreign-qualified entity have ongoing Texas obligations?
It may.
Foreign Qualification is not necessarily a one-time action with no future compliance.
Sia should not state exact recurring requirements unless verified.
DISSOLVED ENTITIES
Does dissolving a business automatically remove every future requirement?
Not necessarily.
The entity may still have final or separate obligations with:
- Tax agencies
- Licensing authorities
- Banks
- Other third parties
Sia should not provide tax or legal conclusions.
LLP ANNUAL FILINGS
Are LLP annual filing requirements the same as LLC requirements?
No.
LLP annual reporting may follow a separate filing structure and fee.
Sia should not quote an LLP annual service fee unless specifically approved in the knowledge base.
CERTIFICATE OF FACT VS. ANNUAL FILING
Does ordering a Certificate of Fact complete my annual filing?
No.
A Certificate of Fact is a separate document service.
AMENDMENT VS. ANNUAL REPORT
Is an amendment the same as an annual filing?
No.
An amendment changes eligible entity information in a government record.
An annual or periodic report fulfills a recurring reporting requirement where applicable.
REGISTERED AGENT CHANGE VS. ANNUAL FILING
Does changing Registered Agent satisfy annual compliance?
No.
These are separate actions.
CUSTOMER RESPONSIBILITY
Customers should:
- Monitor SCILLAN emails
- Review compliance alerts
- Complete Annual Verification
- Respond to requests
- Provide accurate information
- Purchase applicable filing services when needed

COMPLIANCE ALERTS ARE NOT A GUARANTEE
Does SCILLAN guarantee I will never miss a deadline?
No.
Compliance Alerts are intended to help customers stay informed, but customers remain responsible for monitoring and responding to applicable obligations.
EMAIL ADDRESS IMPORTANCE
What if my email address changes?
Update SCILLAN promptly.
Missed communications can affect:
- Compliance reminders
- Registered Agent notifications
- Filing requests
- Billing notices
MULTIPLE ENTITIES
Does one annual filing cover all my LLCs?
No assumption should be made that it does.
Each legal entity has separate records and should be tracked independently.
Does each entity have its own compliance calendar?
Yes, each entity may have its own deadlines and obligations.
MULTIPLE-ENTITY REGISTERED AGENT SERVICE
Each legal entity requires its own Registered Agent subscription.
Current standard price:
$179/year per entity
PROCESSING TIME
When does the Annual Compliance service clock start?
The Estimated Processing Time begins after SCILLAN receives all required:
- Annual Verification
- Information
- Documents
- Authorization
- Signatures
- Payment
Is the government turnaround included in the 3–5 business days?
No.
SCILLAN's Estimated Processing Time is separate from government turnaround.
URGENT COMPLIANCE REQUESTS
My deadline is in a few days. Can SCILLAN help?
Contact SCILLAN Support immediately and identify the deadline.
support@scillan.com
Sia should not guarantee completion before the deadline.
SAME-DAY REQUESTS
My filing is due today. Can SCILLAN guarantee it will be completed?
No.
Approved response:
“This appears time-sensitive. Please contact SCILLAN Support immediately at and clearly identify today's deadline. SCILLAN cannot guarantee same-day government processing.”
TEXAS EXPRESS
Can Texas Express speed up an annual compliance filing?
Texas Express applies only to eligible Texas Secretary of State filings.
It should not be presented as an expedited option for every annual, Comptroller, tax, county, or licensing filing.
BUSINESS LICENSE RENEWALS
Are license renewals included in Compliance Alerts?
Not necessarily.
SCILLAN's current standard compliance service should not be described as monitoring every possible license or permit unless that requirement is specifically tracked.
THIRD-PARTY DEADLINES
Does SCILLAN monitor bank, insurance, or vendor deadlines?
Not as part of the standard Registered Agent + Compliance Alerts service unless specifically included.
INTERNAL COMPANY DEADLINES
Does SCILLAN track internal meeting or contract deadlines?

COMMON CUSTOMER SCENARIOS
“I got a 90-day reminder.”
Explain:
The reminder is an advance Compliance Alert. It does not mean SCILLAN has already submitted the filing.
“I paid for Registered Agent service. Why am I being asked to purchase annual filing support?”
Explain:
Registered Agent + Compliance Alerts and Annual Compliance Filing Support are separate services.
“I completed Annual Verification. Is my filing submitted?”
Not necessarily.
Annual Verification is one step in the service workflow.
The filing may still need to be:
- Reviewed
- Prepared
- Authorized
- Submitted
“My dashboard says Submitted.”
Submitted does not mean approved.
Government processing is still separate.
“I didn't get a reminder.”
Check the account email and contact SCILLAN Support.
Do not assume the filing is not required simply because a reminder was not received.
